Terms of Service

1. About the Application

North SEO Ads Manager ("the Application") is an internal software tool owned and operated by North SEO ("we", "us", "our"), a digital marketing agency located at 408 E 56th Ave, Vancouver, BC, Canada (northseo.ca). The Application is used by North SEO staff to create, manage, monitor, and report on Google Ads campaigns for client accounts linked to our Google Ads manager account.

The Application is not a public product. It is not licensed, sold, or made available to the general public, and no self-service access is offered.

2. Authorized Use

Use of the Application is restricted to North SEO personnel and contractors expressly authorized by North SEO. Authorized users must:

• Use the Application only for managing and reporting on Google Ads accounts that clients have engaged North SEO to manage;
• Comply with the Google Ads API Terms and Conditions and applicable Google Ads policies;
• Keep credentials, tokens, and client data confidential and secure.

Any unauthorized access to or use of the Application is prohibited.

3. Client Accounts and Services

Services provided to clients through the Application (campaign setup, ongoing optimization, and reporting) are governed by the individual service agreement between North SEO and each client. Nothing in these Terms creates a separate service obligation to any party.

4. Third-Party Services

The Application interacts with the Google Ads API and related Google services, which are governed by Google's own terms and policies. We are not responsible for the availability, performance, or changes of third-party services, including the Google Ads platform.

5. Intellectual Property

The Application, including its code, design, and documentation, is the property of North SEO. Google Ads, Google, and related marks are trademarks of Google LLC. No rights in the Application are granted to any party by these Terms.

6. Disclaimer of Warranties

The Application is provided "as is" and "as available" for internal use, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Application will be uninterrupted, error-free, or that advertising outcomes of any kind will be achieved.

7. Limitation of Liability

To the maximum extent permitted by law, North SEO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to the use of the Application. Liability of North SEO to a client, if any, is governed by and limited under the applicable service agreement with that client.

8. Privacy

Our handling of information accessed through Google APIs is described in our Privacy Policy, which forms part of these Terms.

9. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at this URL, with the effective date shown at the top of the page.

10. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.
